Terms of service

These Terms of Service ("Terms") govern your use of the soatech.co website and the software development services provided by Soatech ("we", "us", or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms.

Soatech is a Europe-based software development agency. We provide the following services:

• Custom software development (web and mobile applications)
• MVP (Minimum Viable Product) development
• Dedicated development team augmentation
• UI/UX design
• Technical consulting

The specific scope, deliverables, timelines, and pricing for each engagement are defined in a separate project agreement or statement of work ("SOW") agreed upon by both parties prior to commencement of work.

Submitting a contact form or inquiry through our website does not constitute a binding agreement. A binding engagement only begins when both parties have signed a project agreement or SOW and the initial payment has been received.

Unless otherwise specified in the project agreement:

• Deposit: 50% of the total project cost is due upfront before work begins
• Final payment: The remaining 50% is due upon delivery and acceptance of the final deliverables
• Dedicated teams: Monthly invoices are issued in advance for team augmentation engagements
• Late payments: Invoices not paid within 14 days of the due date may be subject to a late fee of 1.5% per month on the outstanding balance

All prices are quoted in USD or EUR unless otherwise agreed. Payments can be made via bank transfer or other methods specified in the project agreement.

Upon full payment of all fees:

• All custom code, designs, and deliverables created specifically for your project are assigned to you (the client)
• Pre-existing tools, libraries, frameworks, and components used by Soatech remain our property, though you are granted a perpetual, non-exclusive license to use them as part of the delivered project
• Open-source software components remain subject to their respective licenses

Until full payment is received, all intellectual property rights in the deliverables remain with Soatech.

To ensure successful delivery, the client agrees to:

• Provide timely feedback, content, and approvals as reasonably requested
• Designate a primary point of contact for project communication
• Provide access to necessary accounts, systems, and resources
• Review and test deliverables within the agreed timeframe

Delays caused by the client's failure to meet these responsibilities may result in adjusted timelines and additional costs.

We warrant that:

• All work will be performed in a professional and workmanlike manner
• Deliverables will materially conform to the specifications outlined in the project agreement
• We have the right to provide the services and assign the intellectual property as described

We provide a 30-day warranty period after delivery during which we will fix bugs and defects in the delivered work at no additional cost. This warranty covers functional defects only and does not cover new features, design changes, or issues caused by third-party services or client modifications.

Except as expressly stated above, our services are provided "as is" without any other warranties, express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose.

To the maximum extent permitted by law:

• Soatech's total liability for any claim arising from or related to our services shall not exceed the total fees paid by the client for the specific project giving rise to the claim
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities
• We are not responsible for damages arising from the client's use of deliverables in a manner not contemplated by the project agreement

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the engagement. This obligation survives the termination of the engagement and remains in effect for a period of two (2) years following completion or termination of the project.

Either party may terminate an engagement:

• By providing 14 days' written notice to the other party
• Immediately if the other party materially breaches the project agreement and fails to cure the breach within 7 days of written notice

Upon termination, the client shall pay for all work completed up to the date of termination. Any deposit paid is non-refundable if work has commenced, unless otherwise agreed in writing.

• Use the website in any way that violates applicable laws or regulations

Neither party shall be liable for any delay or failure to perform due to causes beyond its reasonable control, including but not limited to natural disasters, war, government actions, pandemics, internet outages, or other force majeure events.

These Terms and any disputes arising from them shall be governed by the law, and submitted to the courts, named in the signed project agreement or SOW for the engagement concerned. We aim to resolve any dispute amicably first.
